      <description>&lt;p&gt;Negotiating Tip:&amp;nbsp; First Offer Considerations - by John Hamilton&lt;br /&gt;============================================================&lt;/p&gt;
&lt;p&gt;Lots of challenging questions but few answers that work perfectly in all cases and all circumstances. There are, however, some strategies dealing with this topic that are worthy of consideration.&lt;/p&gt;
&lt;p&gt;Strategy 1: Let your opponent make the first offer. It might be a pleasant surprise.&lt;/p&gt;
&lt;p&gt;The party making the first offer may make a mistake and communicate terms far more generous than their opponent was ever expecting. This often occurs when someone is out of touch with the value and worth of something.&lt;/p&gt;
&lt;p&gt;Strategy 2: Try to be the party who makes the first offer.&lt;/p&gt;
&lt;p&gt;That first offer position can become an anchor that sets a bracket. Once communicated, that initial position can be fiercely defending and force an opponent move ever closer to it if they want to reach an agreement.&lt;/p&gt;
&lt;p&gt;Strategy 3: Never accept the first offer. Even if you think it's fair.&lt;/p&gt;
&lt;p&gt;Accepting an first offer almost always causes one to &quot;leave money on the table&quot;. In other words, by rejecting that initial offer and initiating (or continuing) negotiations, better terms can almost always be achieved.&lt;/p&gt;
&lt;p&gt;Even if better terms are not possible and that initial offer is accepted later, at least the effort was made and both sides can rest assured that they achieved the best deal possible.&lt;/p&gt;
&lt;p&gt;Strategy 4: The position of the first offer strongly impacts the final outcome.&lt;/p&gt;
&lt;p&gt;Here's more evidence that one would want to make the first offer. Even aggressive first offers communicate to one's opponent that their early &quot;low ball&quot; expectations will have to be abandoned.&lt;/p&gt;
&lt;p&gt;Caution&lt;br /&gt;The factors that influence the outcome of a negotiation are quite numerous and the first offer strategies listed above can have varying degrees of influence. But ignoring their impact is foolish and can be quite costly.&lt;/p&gt;
&lt;p&gt;But, good negotiators recognize that developing an appropriate first offer strategy can greatly influence a 'good deal' result.&lt;/p&gt;</description>

      <title>Silver Lining on North Carolina Real Estate</title>
      <description>&lt;p&gt;Information on North Carolina Property Tax, Sales Tax, and Income Tax.&lt;/p&gt;
&lt;p&gt;The lake properties here have low property taxes!&amp;nbsp; For instance, a $400,000 house would have only $2,400 yearly property taxes (the tax rate is $6 per $1,000 of value).&amp;nbsp;&amp;nbsp; Plus, there isn't an extra school tax.&lt;/p&gt;
&lt;p&gt;Vehicle Taxes are minimal (a 2005 Suburban is $235 per year).&lt;/p&gt;
&lt;p&gt;Sales tax is 2% to 7% (depends on item purchased).&lt;/p&gt;
&lt;p&gt;NC state income tax averages 7% (per NC Department of Revenue)&lt;/p&gt;
&lt;p&gt;If you are an US Government (including military) or State Employee, your pension might not be taxable.&amp;nbsp; Read more below!&amp;nbsp;&lt;/p&gt;
&lt;p&gt;Bailey Decision Concerning Federal, State and Local Retirement Benefits&lt;br /&gt;As a result of the North Carolina Supreme Court's decision in Bailey v. State of North Carolina, North Carolina may not tax certain retirement benefits received by retirees of the State of North Carolina and its local government or by the United States government retirees (including military) for each retirement plan if the retiree has five or more years of creditable service as of August 12, 1989. The exclusion also applies to retirement benefits received from the State's 401 (k) and 457 plans if the retiree had contributed or contracted to contribute to the plan prior to August 12, 1989. The exclusion does not apply to local government 457 plans, 403(b) annuity plans, or to retirement benefits paid to former teachers and state employees of other states and their political subdivisions. You can view the list of qualifying retirement plans in the North Carolina Department of Revenue Individual Income Tax Bulletins. A retiree entitled to exclude retirement benefits in arriving at North Carolina taxable income should claim a deduction on line 42 of the D-400 for the amount of excludable retirement benefits included in federal taxable income. A copy of Form 1099-R or W-2 received from the payer must be attached to the return to support the deduction.&lt;/p&gt;
&lt;p&gt;&lt;br /&gt;Note: The &quot;special separation allowance&quot; paid to retired law enforcement officers pursuant to G.S. 143-166.41 and reported on Form W-2 does not qualify for exclusion under Bailey. However, the special separation allowance is subject to the $4,000 retirement benefits deduction.&lt;/p&gt;
&lt;p&gt;&lt;br /&gt;Distributions from most types of retirement plans may be rolled over into another retirement plan or into an IRA. Because rollover distributions lose their character upon rollover, all distributions from a qualifying Bailey retirement account in which the employee / retiree was &quot;vested&quot; as of August 12, 1989, are exempt from State income tax regardless of the source of the funds contained in the account. Conversely, qualifying tax-exempt Bailey benefits rolled over into another retirement plan lose their character and would not be exempt upon distribution from the other plan unless the plan is a qualifying Bailey retirement account in which the employee was vested as of August 12, 1989. (Rollovers to IRAs will always result in a loss of tax-exempt status since IRAs do not qualify under the Bailey settlement.)&lt;/p&gt;

      <title>Buying North Carolina Lake Property with IRA Funds</title>
      <description>&lt;p&gt;With a self-directed IRA, you can own the property in a variety of ways.&amp;nbsp; Here's an example on how to use a self-directed IRA to purchase land:&lt;/p&gt;
&lt;p&gt;While doing some research, you find a 1-acre lakeview lot for sale for $100,000 in a booming part of North Carolina.&amp;nbsp; In five years, you are certain that the lot will be worth much more than $100,000, and so you decide to purchase the lot.&lt;/p&gt;
&lt;p&gt;You look over your finances to see what's available.&amp;nbsp; You currently have $150,000 in your retirement account.&lt;/p&gt;
&lt;p&gt;Here's a few ways to structure this transaction for your benefit:&lt;/p&gt;
&lt;p&gt;1)&amp;nbsp; Purchase the Lot in Cash with your IRA -&amp;nbsp;&amp;nbsp; With $150,000 in your retirement account, the lot could be purchased in full on the day of the closing.&amp;nbsp; Purchasing the lot in this way would mean that there would be no mortgage payments and no debt associated with the lot, and all profits made from the eventual sale of the lot from the real estate would go directly into your IRA account tax-free or tax-deferred, depending on your plan.&amp;nbsp; It's just that simple.&amp;nbsp; And remember that any expenses pertaining to the property, such as construction work or tax bills, will be paid out of your IRA; leave some cash in your IRA account so the expenses are covered.&lt;/p&gt;
&lt;p&gt;2)&amp;nbsp; Partner with Your IRA - A great way to use leverage with your IRA is to partner with yourself; specifically, you can use mortgage loans and IRA money to make a purchase.&amp;nbsp; In the example, the $100,000 lot can be purchased using both your IRA and a mortgage loan.&amp;nbsp; You could use your IRA to put down $30,000 (30%) at closing, and then you, as an individual, acquire a mortgage loan from a bank for the remaining $70,000 (70%).&amp;nbsp; In this type of transaction, partnering with your IRA allows you to put a cash sum down without involving any personal money.&amp;nbsp; When partnering with your IRA, the split of ownership must directly reflect how much each contributes to the purchase price.&amp;nbsp; With the above example (the 70-30% split), the IRA cash is for 30%, and you as an individual contribute 70% via the loan.&amp;nbsp; Of course, this example is just one way in which the split can occur.&amp;nbsp; Any percentage split is permissible so long as it reflects the contribution amounts from each party and equals 100%.&amp;nbsp; Keep in mind that the IRA is not responsible for any loan costs or loan payments.&amp;nbsp; Once the lot is sold, the profits from the sale must also reflect the same percentage split.&lt;/p&gt;
&lt;p&gt;The paperwork associated with this transaction is also easy &amp;amp; painless.&amp;nbsp; Essentially, you would complete an Entrust Carolinas LLC application, a fee disclosure &amp;amp; a copy of your driver's license, and that would create your self-directed IRA.&amp;nbsp; From there, a simple transfer form would move your retirement account from the previous custodian to Entrust Carolinas, LLC (which is a non-taxable event) and along with the Buy Direction Letter and standard closing documents of any real estate transaction, the lakeview lot would be yours.&amp;nbsp;&lt;/p&gt;
&lt;p&gt;How would the property be titled?&amp;nbsp; As an example, if the buyer's names are Bill and Melinda Gates, the contract and deed are made out to Entrust Carolinas, LLC FBO Bill and Melinda Gates. The FBO stands for &quot;For Benefit Of&quot;.&amp;nbsp;&amp;nbsp; The folks at Entrust would actually sign the contract, paperwork, HUD, everything (think of Entrust as a &quot;Power of Attorney&quot; for Bill and Melinda Gates).&lt;/p&gt;
&lt;p&gt;How much does this cost to setup?&amp;nbsp; Entrust fees are: One time cost to setup is $50, and cost is $250 per property per year.&amp;nbsp; Very minimal cost. If you own multiple properties, cost per year can be less.&amp;nbsp; &lt;br /&gt;These examples above are for illustration purposes only, and are not to be considered legal or tax advice.&lt;/p&gt;

&lt;p&gt;[Note: To follow is an excerpt of an interview with JP Dahdah, Entrust Arizona and Jeremy Hanks and Michael Madsen of RealSource Retirement Services.]&lt;/p&gt;
&lt;p&gt;Mosca: With many Americans today living longer, healthier lives, additional income will be necessary to sustain their lives. In most instances, Social Security alone will not provide the money necessary to retire comfortably. A growing number of individuals and partnerships alike, seeking to diversify their nest eggs have discovered they can use IRA funds to buy real estate. JP can you tell us what IRA means to a self directing custodian and to a real estate investor?&lt;/p&gt;
&lt;p&gt;Dahdah: It is fundamentally important to understand that an IRA as defined by Section 408 of the IRS code is nothing more than a trust. What the government established in the mid-70s is an opportunity to contribute to that trust throughout a lifetime.&lt;/p&gt;
&lt;p&gt;Madsen: An IRA gives the chance to grow investments tax-free. Our clients take advantage of that. The big difference is they also are able to leverage into real estate markets for higher returns.&lt;/p&gt;
&lt;p&gt;Mosca: What makes an IRA custodian stand out from the competition?&lt;/p&gt;
&lt;p&gt;Dahdah: Choosing a custodian, like in real estate, is about location, location, location. Entrust has over 25 offices across the country and is the largest network of self-directed administrators in the country. For us, education and providing knowledge to our clients is a big thing.&lt;/p&gt;
&lt;p&gt;Hanks: The great thing about the self-direction industry is that there are two types of service providers, the custodian and the facilitator. At RealSource Retirement Services, we are a facilitator and work hand-in-hand with Entrust in helping our clients throughout the whole self-direction process. Entrust Arizona is on point and able to answer all of our clients' questions. For example, about eight months ago we had a client with a traditional IRA with about $200,000 in it. In 1996 he had $182,000. So, in 12 years he had earned about $18,000 in his IRA. He came to us a bit desperate and he wanted to see what he could do. We put him in control of his retirement and after eight months, he already realized a nine percent return on his money.&lt;/p&gt;
&lt;p&gt;Mosca: If self-directing is so successful, how come most Americans are not aware of this option?&lt;/p&gt;
&lt;p&gt;Madsen: The Pension Protection Act of 2007 allows people around the country to diversify their IRA funds. Unfortunately, the holders of the IRA funds are not letting owners know that the Act says you can diversify 33 percent or up to $99,000 a year for the next three years. Also, if you have any previous employer 401(k)s, those no longer have to go directly to your new employer. That's no longer the case. You can now directly send that into a self-directed IRA.&lt;/p&gt;
&lt;p&gt;Dahdah: If an employee is participating in an IRA, there is a 'plan document' that governs their investment choices. Look in the plan document for an 'in-service withdrawal' which allows you to roll money out of the plan. It's all about taking control of your money, getting yourself into a position where you're making the financial decisions, and adding some flexibility to your choices. Create a plan to take advantage of all your available options.&lt;/p&gt;
&lt;p&gt;Mosca: The Roth IRA is very popular today. Is this an ideal vehicle for self-directing into real estate?&lt;/p&gt;
&lt;p&gt;Dahdah: I'm the biggest cheerleader of the Roth IRA. It is the most powerful vehicle that exists today for wealth building if, single, your adjusted gross income is below $95,000, or if you are married, filing jointly, your adjusted gross income is below $150,000. Even though you're not getting a tax benefit today, it allows money to be put aside and grow wealth without having to pay taxes on that money. If you are an employee or you're in a business that offers a 401(k) plan, make sure you ask if they have a Roth component, and start building that tax-free portfolio.&lt;/p&gt;
&lt;p&gt;Mosca: When can distributions on those accounts begin?&lt;/p&gt;
&lt;p&gt;Dahdah: The taxes on these vehicles come upon distribution. In traditional accounts, after the age of 59 1/2 you can start taking out money as a distribution and pay ordinary income taxes. Before 59 1/2, there is a 10 percent penalty. The beauty of the Roth IRA is that you don't have to worry about those taxes. If you're in a confident position about the real estate investments you're making throughout your lifetime and you're not having to pay capital gains taxes, you're not having to pay income taxes on the rents, and at the end of the day you don't have to pay ordinary income taxes upon distribution, you're basically in the best position possible.&lt;/p&gt;
&lt;p&gt;Mosca: Can I invest overseas with a Roth IRA?&lt;/p&gt;
&lt;p&gt;Dahdah: Absolutely, you can do that with the Roth IRA. You are not limited to making only domestic real estate investments. Just like you can buy stock from Germany or from Japan, you can buy real estate all over the world. Remember, an IRA is a trust. As long as you understand that an IRA equals a trust, have the basic concept; ask yourself can I trust by real estate? Yes. Can a trust get a loan? Absolutely. Can a trust lend money to other people, other entities? The answer is yes. That is why IRAs can do the exact same thing.&lt;/p&gt;
&lt;p&gt;Hanks: What we're able to do is set up an LLC in between the deal and the client's self-directed IRA. The IRA will then loan money to that LLC and that LLC turns around and invests it. There are rules and each deal has its own specifics. International is definitely a possibility, and is a great way to maximize returns.&lt;/p&gt;
&lt;p&gt;Dahdah: The IRS does not allow you to pledge your IRA as collateral for a loan. We are talking about the IRA as the borrower and it will be on the loan document. It doesn't matter what your credit score is because the lender is normally not going to be looking at your personal individual credit history because it's not you individually that is obtaining the loan. It is the IRA, or the retirement trust that is taking out the loan. These types of loans are non-recourse. If the IRA does not keep up with those payments, the lender will simply foreclose on the property and take it back.&lt;/p&gt;
&lt;p&gt;Madsen: With multifamily investments, five units on up, the bank is not going to look at you as an individual. They're going to look really hard at the property and make sure that it's producing enough cash flow; that rents cover the debt.&lt;/p&gt;
&lt;p&gt;Mosca: Any last comments?&lt;/p&gt;
&lt;p&gt;Dahdah: Knowledge is power. At the end of the day you need to take the step of actually implementing that knowledge. If you're looking for a wealth building tool, there is nothing better than a retirement account. We want people that want to know where their money is, want to have control, want to be able to touch and feel a lot of their investments, invest in their backyard if they want to, and do it without paying taxes.&lt;/p&gt;
&lt;p&gt;Hanks: I agree with JP. It is time for people to take control of their retirements and their future There's no reason to reinvent the wheel when somebody's done it for you.&lt;/p&gt;
&lt;p&gt;Madsen: The key is to diversify. For 20 years the mantra at RealSource has been 'live where you want, invest where it makes the most sense,' and now is a great time to buy investment real estate.&lt;/p&gt;

&lt;p&gt;&lt;strong&gt;Taxes and weather; these two factors despite the economic landscape, are continuing to fuel peoples' decision to move southward at retirement.&lt;/strong&gt; &amp;nbsp;Folks can't afford or justify the taxes they are paying living in northern cities.&amp;nbsp; Add to that, the winters are harsh.&amp;nbsp;&amp;nbsp; A dear friend of mine said, &quot;You know you are a northerner when you describe the seasons where you live as winter, almost winter, still winter and not winter&quot;.&amp;nbsp; So true!&amp;nbsp; People have grown tired of the rigors of the cold and snow and when they talk to their friends who have moved southward upon retirement and hear of the gentler climate that affords them the lifestyle to be outdoors and lead a more active lifestyle, it is just too alluring not to join them and hang up their snow boots and discard their snow shovels once and for all.&lt;/p&gt;
&lt;p&gt;&lt;strong&gt;Current home values have fallen and there are those that want to wait for their home to appreciate in value before they sell.&lt;/strong&gt; &amp;nbsp;Hindsight is always 20/20.&amp;nbsp; What would have been the best financial move for folks who knew they wanted to retire was to sell their home a few years ago while the market was up, even if they had to go into temporary housing before they relocated down south.&amp;nbsp; Then as the market dropped, they could have bought now on the tail end of the downturn.&amp;nbsp; For folks that say they want to wait for their home to go up in value, they need to be aware that chances are if their home price appreciates (especially in the north), so will the real estate where they are heading.&amp;nbsp; In the meantime, while they wait, they aren't getting on with their lives and they will continue to pay the high taxes and will endure further frigid winters where they are.&lt;/p&gt;
&lt;p&gt;&lt;strong&gt;The real estate areas that will recover the best in this downturn are where two things are present; job growth and housing demand.&lt;/strong&gt; &amp;nbsp;Look to see where jobs are being created.&amp;nbsp; Where employment is strong, that is where housing will lead out of this setback (Google and Williams Sonoma recently opened operations centers in our area).&amp;nbsp; Where migration patterns are directing is where housing will recover the fastest.&amp;nbsp; I know very few folks out of the 78 million Baby Boomers who are moving northward at retirement.&amp;nbsp; Most folks I know are moving southward whether it is to Eastern Tennessee, the Carolinas or to Florida or anything in between.&amp;nbsp;&amp;nbsp; These cities and regions will see real estate demand increase which will positively affect pricing.&amp;nbsp; Second, where jobs are being created and some of these jobs may be second careers for retirees, this too will positively affect pricing.&amp;nbsp;&lt;/p&gt;
&lt;p&gt;&lt;strong&gt;Bottom line&lt;/strong&gt; - People need to think through this life step and:&lt;/p&gt;
&lt;ul&gt;
&lt;li&gt;1. Write out their goals of what they want to find; &lt;/li&gt;
&lt;li&gt;2. Which community amenities are important; &lt;/li&gt;
&lt;li&gt;3. What can they realistically afford; &lt;/li&gt;
&lt;li&gt;4. And identify the &quot;must have&quot; city conveniences.&lt;/li&gt;
&lt;/ul&gt;
