The operating agreement for a TIC offering

I'm looking for prototypes for an operating agreement for a RE TIC. I know there have to be some out there in the Real Estate world. Anyone know of any other books beside Gene Trowbridge'?

The primary need is to have buy/sell provisions, a mandatory sale on irreconcilable differences clause, and provisions for what constitutes grounds for termination of the current property management company, but I'm sure there are a whole lot of other requirements.

I'm a little confused. You're thinking of passing something on to Trowbridge? I don't think he would need this as he's the one who originates the Operating Agreements. I, on the other hand, would appreciate such. :^)

And yes, they do tend to be "expensive". Not as much as the tax opinion, but $2-5K would not be unusual, I imagine.
