Question: We have a procuring cause problem and are seeking advice and trying to avoid a problem at closing.
Question: Can the procuring cause agent (who is neither listing or buyers agent) hold up closing? Does the procuring agent even need to be at closing? And who's responsibility is it to contact each other to negotiate compensation prior to closing?
i.e. Is it the agent that is the procuring cause responsible for contacting the buyer's agent - or is the buyer agent's responsibility to contact the agent responsible for procuring cause?
Premise:
We are first time home buyers with an uncle (we will call Charlie) as our agent. We do not have a contract with Charlie but had secured him verbally 9 months prior.
A friend of ours (we will call Susie) is the wife of a friend in the neighborhood we were buying. While at her house in the pool - she asked if we wanted to see the home around the corner. We left the pool and Susie showed us the home in her bikini, drunk with a drink in hand.
On the way she said she wasn't trying to solicit our business. She never asked if we had an agent. We never assumed this was a professional transaction because of the conditions.
Susie never contacted us again about real estate or this property and never followed up.
With our agent, Charlie, we researched and drove around the neighborhood for the next month. And after reviewing the neighborhood we decided to look at the original property again. After looking at it twice we decided to make an offer and it was accepted.
The next day - Susie's husband informed us that Susie was due half the commission. We asked to sit down and talk with Susie and she refused and directed us to talk to our agent - through an email forwarded from her husband. Susie's husband is not a real estate agent - but is a loan officer. He actually works with our loan officer.
We talked to our agent, Charlie, and he agreed to a finder's fee commission. We emailed Susie our agent's information and to please call and talk about commissions. We thought it was resolved.
However, Susie never contacted us nor our agent, Charlie.
We requested a 15 day extension on closing - at the 30 day mark (the original date of closing) - Susie's husband called us again to say our agent had not called her.
We emailed our agents contact information again to Susie and called her - and requested that all real estate transactions please occur through our agent.
Susie still has never called us or our agent.
So now - we are 13 days from closing - and are fearful for a show down at our closing. We don't even think she is even legally do anything for the unprofessional showing - but in our good faith we ethically negotiated with our ours buyer agent for a compensation on her behalf. (We had to do the negotiation without the Susie because she won't contact anyone.)
We are fearful for her showing up at closing and trying to extort money above a finders fee by holding up the signing all together.
We are trying to balance legal protections, our new neighbors and maintain some cordial level with a group of friends she is related to - but we aren't really sure where we stand legally and if we are in any violation. And what can we do to head this off before closing.
We are very upset for feeling like we were duped into procuring cause - but are swallowing that pride and doing everything we can ethically to resolve this.
Our agent can handle the situation - he is an ex-VP of an very large company and can absolutely handle himself.
We are just trying to understand what is our legal obligation, what is the buyers agent legal obligation and how should the stituation be handled prior to closing. The agent responsible for procuring cause seems destined to have a surprise showdown at closing since she we can't get her to communicate with anyone prior to closing.
We found out later that similar situations have occurred twice prior where she has preyed on "friends and family" unprofessionally. This excitement of buying a home is quickly becoming a nightmare and we can't seem to get the procuring agent to resolve it.
