Mr. Peikin practices in corporate and securities law, including private equity, venture capital and debt financing, private and public securities offerings, project financing, and mergers and acquisitions. He represents issuers, underwriters and investment banks in public and private securities offerings, as well as buyers and sellers in mergers and acquisitions. Mr. Peikin's practice spans a wide range of industries including energy, entertainment, new media, telecommunications, aviation, natural resources, manufacturing and consumer products.

Of particular note is Mr. Peikin's vast experience in the energy industry. He represents independent power producers and companies involved in energy services, coal, oil and gas. He also advises alternative and renewable energy companies engaged in solar, wind, bio-fuels, ethanol, landfill gas, clean coal, fuel cells and waste-to-energy. Mr. Peikin is knowledgeable about climate change issues related to carbon emissions, environmental credit trading, and energy-related tax credits.

Mr. Peikin also has substantial experience in the entertainment sector. In the past year, he has counseled motion picture and music production companies, music artists and professional athletes in connection with more than $750 million in financing transactions that included film slate financings, the business combination of digital music distribution companies and e-commerce platforms, and the development of celebrity and athlete brands. Mr. Peikin has also represented entertainment companies with regard to public offerings, structuring and financing of equity film and television production funds, establishment of prints and advertising revolving debt facilities, and the securitization of film and music libraries.

Representative Matters

o Represented one of the largest banks in the United States with regard to its endorsement of certain professional football players and other sports personalities in conjunction with an advertising campaign that emphasized a recent acquisition.

o Counseled former football star in negotiations to invest in a football franchise. 

o Acted on behalf of advisors to a large Hollywood film studio with regard to a nearly $250 million film slate financing arranged by one of the leading financial institutions in the United States.

o Advised motion picture production company in a series of private placement transactions and with regard to film slate structuring and financing.

o Advised principal of investment management company in bid to acquire one of the world's largest manufactures of sun safety products.

o Represented licensing and branding company with regard to various corporate sponsorships and celebrity branded merchandise including apparel, footwear, fragrance, and cosmetics.

o Counseled solar company concerning financing for operating capital, structuring an in-house finance arm, power purchase agreements and financing, and reverse merger into an over-the-counter bulletin board corporate shell. 

o Represented a landfill gas developer in the negotiation of off-take agreements and with regard to project financing for a portfolio of landfill gasification projects.

o Advised well-known trading platform for carbon financial instruments with regard to the environmental compliance impact of the Sarbanes-Oxley Act of 2002 and Securities and Exchange Commission disclosure requirements and risk management considerations.

o Counseled carbon credit aggregation and trading company with regard to private equity financing, project financing, and joint venture with a renewable energy services company.

o Represented homeland security company in hedge fund transactions, manufacturing and supply contracts, and with regard to a series of equity and debt financings.
