I'd Like To Add A Buyer & Yes, I Realize Escrow Is Scheduled To Close

By

Let it not be said "every sale is the same" (Part 1)

In California, real estate purchase contracts are sometimes assigned.  Generally this is done well before signing escrow documents is underway.

Foresee Surprised

Imagine my surprise as I was enroute to support the Seller as they sign closing documents when the Buyer's agent told me they would be adding a co-buyer.

At this point in the transaction, disclosures had been made and accepted, contingencies had been released and funding was due in the near term.

I'm not an attorney, but I do know some contract formats have specific provisions that prevent assignment.  Our contract had no such language making an assignment possible.  That said, we still consulted a real estate attorney to make sure our steps were done within legal constraints.

Calls were required!  Since every real estate sale is different, each must be evaluated carefully and calmly.

  • One was to the Escrow Officer to both alert them and to confirm what impact this might have on the seller signing - within the hour.
  • One was to the Brokerage to appraise them of the change.
  • One was of course made to the client since they would be participants in the contract change.

As it turned out, the sellers were able to sign the deed as scheduled, but that didn't mean we were done.  The new buyer joining the transaction so late in the process meant more documentation was required.

Among this documentation was an addendum and another round of disclosure signatures.  The new buyer may have been witness to some of the due dilligence investigation along the way - or they may not have.  In either case, they had to receive, review and acknowledge all disclosures, inspections and information about the property.  As an aside, failure to disclose is a great BIG no-no.  If in doubt, disclose!

This is all of the story I'm going to share for now, you'll have to check back for an update sometime before the end of December 2013.

Every home sale is different and that is the moral of this story.

As always, let's foresee the possibilities . . . and get results!

Adding a co-borrower to the deal frequently happens, but I never have seen it an hour before closing?  Something doesn't sound right to me.

Kathy, It was an interesting twist, but one of many we see.  Since the Buyer and Seller sign closing at different times, it was a condition that was workable.  Thank you for stopping by to comment.

Rebecca, We have to be flexible but these last minute changes make me uneasy and feel like there is a hidden agenda.

Debbie, Thank you for stopping by and commenting.  Like you, I remain flexible, observant and represent my client all the way through.  The timing of this was unexpected, but manageable.  Wishing you peace and no hidden agenda attacks!

Talk about last minute!  I've seen Buyers added, or the Buyer "changed" to a Trust or LLC.  But not one hour prior to Closing.  Yikes

Rebecca; I look forward to hearing the rest of the story. Like Debbie Reynolds, I am always suspicious.

Fred, Thank you for stopping by and commenting.  In my market "closing" happens after signing, sometimes days or even weeks later.

You are right every state is different on the impact of adding a name to the transaction.  A co-buyer to me means they needed to be on the loan documents and approved to be included in the purchase.  We often have a loan with only person but a second person (such as a spouse) is added to title.  This usually doesn't cause any delays.

Rebecca~ "awesome post" -I think that it is interesting our industry guidelines are different "state to state" but there's no question that disclosures are so important

One of the things I love about AR is seeing how differently each state handles the sale of a property... I guess Jon already said that... Welcome to the Rain

Hella, Thank you for the comment.  Agreed, we need to be diligent in representing our clients and part of that duty requires reasonable flexibility.  Putting our clients first is always a must.

Gita, One of the aspects of real estate I enjoy is the nuances.  Change and new experiences come daily.  Thank you for commenting!

Cindy, Thank you for the comment.  I agree, adding another person to the title is not uncommon.  Assignment with the addition of a party during the live purchase was a twist this late in the transaction.

Jon, Thank you for commenting.  Yes, disclosing when in doubt can save a lot of trouble and expense down the road.

R&B,  Thank you for the welcome.  One great thing about many agents is how well they adapt to change.  On a personal note, being open to other perspectives and ways of doing business are important to serving my clients.

Jan, One of my duties is honest and fair dealings with all parties regardless of whether I represent the Seller or Buyer.  That said, my fiduciary duty to my client was always present in how we proceeded.  I always aim for win-win results and that makes for better relationships.  Thank you for stopping by to comment.

Hiccups like that make for some anxious moments, Rebecca. Your sellers were in good hands; you checked with all the right sources, alerted the proper people, and made sure your clients were properly advised. Good job!
