TITLE:    Approve Purchase Agreement for the New Solid Waste Recycling Facility 
I.    MOTION REQUESTED
     A) Approve Purchase Agreement with Waste Management Inc. of Florida, a Florida Corporation, Successor by Merger to Gulf Disposal Inc., a Florida Corporation, for the acquisition of a 50-acre parcel of land identified as part of Strap No. 36-44-25-00-00001.7000 in the amount of $14,500,000, for a new Materials Recovery Facility, Project No. 0754, pursuant to the terms and conditions of the Agreement;
B) Authorize the Chair on behalf of the Board to execute the Purchase Agreement;
C) Authorize payment of necessary fees and costs to complete the transaction, estimated to be $100,000, and
D) Authorize the Department of County Lands to handle and accept all documentation to complete this transaction.
II.    ITEM SUMMARY
     Acquires a 50-acre parcel of land for the location of a new Materials Recovery Facility, Project No. 0754, at an estimated cost of $14,500,000, plus costing costs. This parcel is located near State Road 82 in East Lee County, adjacent to the former Gulf Coast Landfill.


III.    BACKGROUND AND IMPLICATIONS OF ACTION
     A)    Board Action and Other History
          On December 1, 2020 a new Recycling Facility was presented to the Board as part of the Solid Waste long-term planning process. The new facility will meet population growth demands for the next 20 years. The County's ability to make major capacity upgrades to its existing facility are limited by the facility size, traffic at Buckingham, and complications from extended downtime. The present facility is at maximum capacity (90,000 tons/year) during high tourist season, with the facility operating two nine-hour shifts per day, five days per week, not including maintenance and repair time.

On December 15, 2020 the Board approved Agenda Item: Approve Policies Related to Long-Term Solid Waste Planning. This Agenda Item included presenting a recycling facility as part of the overall Solid Waste Capital Improvement Plan budget in early 2021. The CIP budget was approved by the Board on September 21, 2021. Expected total cost is $86 million is 2022 dollars.

Lee County Procurement published the Solicitation for No. CN220119JJB Design Criteria Professional/Owner’s Rep for a Materials Recovery Facility on March 4, 2022. Proposals were received from RRT Design & Construction and CDM Smith. Because only two proposals were received, the solicitation was cancelled on April 8, 2022.

A new solicitation, No. CN220324JJB, was published on May 3, 2022. Again, proposals from CDM Smith and RRT Design & Construction were received on June 3, 2022. After a review and rating by the committee on June 22, 2022, RRT Design & Construction and CDM Smith were invited to give a formal presentation on July 28, 2022. On July 21, 2022, CDM Smith was disqualified from the formal presentation due to an ineligible sub-consultant. After the formal presentation, the evaluation committee rated RRT Design & Construction as the most qualified firm for the contract.

          The new facility will proceed in several steps:
1. Hire the Design Criteria engineer/expert to assess county needs, establish operation requirements, and ensure proposed equipment meets those needs.
2. Establish a general laydown for the proposed site that will ensure processing of recyclables over the life of the facility.
3. A separate RFP for recycling industry machinery firms to create the process equipment design that meets the design criteria. Selected proposer will construct processing line.
4. Design a building to house the processing equipment, have the necessary tipping capacity, have necessary employee support, and house storage of sellable commodities. A separate RFP for selecting a proposer to construct the plant and site improvements.
5. RFP for third party operation of the plant.

As part of the Agreement, the Seller has agreed to design, permit and construct an access road from State Road 82 to the subject property in accordance with LDC and Lee County DOT standards within 24 months of closing, at an estimated cost of $5,000,000.
