Real Brokerage to Acquire REMAX — Creating a Global Real Estate Powerhouse April 27, 2026

The Real Brokerage Inc. (NASDAQ: REAX) and RE/MAX Holdings (NYSE: RMAX) announced a definitive agreement for Real to acquire RE/MAX Holdings, forming a new entity called Real REMAX Group.

Deal Highlights:

• Enterprise value of approximately $880 million for RE/MAX Holdings
• Combined pro forma revenue of ~$2.3 billion and ~$157 million Adjusted EBITDA (2025)
• Expected to be accretive to earnings within the first full year after closing
• ~$30 million in annual run-rate cost savings expected
• Transaction expected to close second half of 2026

What This Means: The combined company will serve 180,000+ agents across more than 120 countries. Real's AI-powered platform (reZEN) and operating model will be united with REMAX's iconic brand and global franchise network. REMAX and Motto Mortgage will continue operating under their current brands.

Leadership: Real CEO Tamir Poleg becomes Chairman & CEO of Real REMAX Group. Headquarters will be in Miami, with significant operations remaining in Denver. Stock continues trading on NASDAQ under ticker REAX.

Transaction Terms: RE/MAX shareholders may elect 5.152 shares of Real REMAX Group or $13.80 cash per share (subject to proration). Real shareholders receive 1-for-1 shares. Post-close ownership: ~59% Real shareholders, ~41% RE/MAX shareholders.

Real secured a $550 million financing commitment through Morgan Stanley and Apollo Global Funding.
